TERMS OF SERVICE AGREEMENT

These Terms of Service (“Agreement”) are a legal agreement between you (“User” or “you”) and Daily Labs, LLC (“Company” or “we” or “us”), regarding your use of Reflectr (the “App”). By downloading, accessing, or using the App, you agree to be bound by this Agreement.

1. User Accounts: The App offers optional account creation functionality for data syncing and enhanced user experience. By creating an account, you agree to provide accurate and complete information and to update it as necessary. Account creation is subject to verification and validation by the Company.

2. User Content and Syncing: The App allows users to create content that is private to them. If you opt to sync your data, this content will be encrypted and stored on our cloud servers to enable access across your devices. You retain full ownership of your content. However, by syncing, you grant us a license to host, store, and encrypt this content as necessary for the syncing service.

3. Product Analytics: Our collection of product analytics is extended to understand usage patterns and improve service for both standalone and account-synced experiences.

4. Free Trial, Subscriptions, and Ads: Reflectr offers a 10-day free trial without ads for new users. After the trial period, users may continue using the App with ads or subscribe to the premium plan for $9.99/year to enjoy an ad-free experience plus additional premium features. Subscription plans automatically renew unless canceled by the user. Users are responsible for canceling their subscription before the renewal date to avoid being charged for the next subscription period. Please note that Reflectr does not offer refunds for any unused portion of the subscription period.

5. Billing and Refunds: By subscribing to Reflectr, users agree to pay the subscription fee. Users may cancel their subscription at any time.

6. Ownership: The App's content, including but not limited to the logo, visual design, trademarks, and other intellectual property, is our exclusive property.

7. Feedback: We may implement any feedback or suggestions we receive from users without any obligation to compensate you.

8. Promotions, Contests, Sweepstakes: We may offer promotions, contests, or sweepstakes. Please refer to the App for details.

10. Disclaimer of Warranties: The App is provided on an “as is” and “as available” basis. We make no warranty that the App will meet your requirements or be available on an uninterrupted, secure, or error-free basis.

11. Limitation of Liability: To the extent permitted by law, in no event shall the Company, its affiliates, or their respective officers, directors, employees, or agents be liable for any direct, indirect, punitive, incidental, special, or consequential damages arising out of or in any way connected with your use of the App.

12. Indemnification: You agree to indemnify and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your use of the App or any violation of this Agreement.

13. Modifications: We reserve the right to modify this Agreement at any time. Any modifications will be effective immediately upon posting of the modified Agreement on the App. Your continued use of the App after any such modifications will constitute your acceptance of the modified Agreement.

14. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to its conflict of laws principles.

15. Arbitration: Any dispute arising out of or in connection with this Agreement shall be resolved by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Wilmington, Delaware.

16. Entire Agreement: This Agreement constitutes the entire agreement between you and the Company with respect to the App and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and the Company.

17. Severability: If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.

18. Waiver: The failure of the Company to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.

By using the App, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to this Agreement, do not use the App. You represent that you are capable of entering into a legally binding contract, or that you have obtained the consent of a parent or legal guardian to use the App.

If you are using the App on behalf of an organization, you represent and warrant that you have the authority to bind the organization to this Agreement.

This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns. The headings used in this Agreement are for convenience only and shall not affect the interpretation of this Agreement.
